Limitation period for debts in India: sell before your claim expires

Every debt has a shelf life. In India the Limitation Act, 1963 sets how long you have to sue, and once that window closes your receivable is worth almost nothing. Understanding limitation is essential before you sell, or before you let a debt sleep.

The basic rule: 3 years

For most money claims, including the price of goods sold, work done or money lent, the limitation period is 3 years. After that, a suit for recovery is generally time-barred and the courts will not enforce it, even though the debt morally still exists.

When does the clock start?

Usually from the date the debt becomes due and payable, not the invoice date if a credit period applies. For a loan repayable on demand, time can run from the date of the loan. Getting the start date right is critical to knowing whether your debt is still saleable.

What resets the clock?

  • A written and signed acknowledgement of the debt before the period expires (section 18).
  • A part payment of principal or interest, recorded properly (section 19).
  • A fresh written promise to pay a time-barred debt can, in specific conditions, create a new obligation.

A simple signed email or a ledger confirmation stating "we owe you ₹X" can restart the three-year clock, turning a dying debt back into a valuable, saleable asset.

Why limitation drives the sale price

Buyers price limitation heavily. A debt with two years of runway is far more valuable than one about to expire. As the deadline nears, discounts widen sharply, because the buyer needs time to litigate or negotiate after taking assignment.

The lesson: do not wait

If you do not intend to sue soon, sell the debt while it still has legal life. A receivable with two or three years left attracts real offers; one that is time-barred attracts almost none. You can read the Limitation Act on India Code.
